Terms and Conditions

1. The Vendor agrees to sell and the Purchaser agrees to purchase the goods described overleaf at the price stated at the time of delivery.

2.The said goods shall remain at the Vendors risk until delivery to the Purchaser whereupon they shall be at the Purchasers risk.

3.Payment of the full contract price shall be made by the Purchaser to the Vendor within thirty days from the date of delivery by the Vendor to the Purchaser.

4.If payment is not made as herein before provided the Purchaser shall pay the Vendor interest on the outstanding purchase price at the rate of four per cent above the base lending rate of Midland Bank PLC from time to time until payment of the contract price.

5.For orders of more than £10,000, or orders for a sum below that figure at the Sellers discretion, the Vendor requires the Directors of the Purchaser to give a personal guarantee for payment of the order.

6.The costs, including solicitors fees, incurred in recovering an outstanding debt to the extent necessary, will be borne by the Purchaser.

7.The relationship of the Purchaser to the Vendor shall be fiduciary in respect of other goods or substances with which the contract goods are incorporated or used, so as to create a charge over the goods in favour of the Vendor until payment is received.

8.Any defect in the goods supplied must be notified to the Vendor by the Purchaser within seven days of the date of delivery failing which notification the Purchaser shall be deemed to have accepted the goods and approbated this contract.

9.Upon such notification of any defect in the goods the Vendor shall be afforded reasonable opportunity by the Purchaser to inspect the goods and until such inspection and until the Vendor agrees to rescission of this contract the terms and conditions of this contract shall remain in full force and effect.

10.Notwithstanding anything herein contained title to the goods shall remain vested in the Vendor until payment of the full contract price and interest thereon (if any).

11.The Vendor shall deliver the goods to such place as is reasonably nominated by the Purchaser at the Vendors sole expense provided that the contract price for the goods is more than £100. If the Purchaser should require the goods delivered to some place more than 50 miles from the Vendors principal place of business or if the goods should be of unusual shape or size so as to require special arrangements for delivery the Vendor may make such additional charge for carriage as is reasonable the circumstances.

12.Where the goods are delivered on any pallet or in any container of any description the Vendor reserves the right to make a reasonable charge for such pallet or container if such pallet or container is not returned to the Vendors principal place of business or is not made reasonably available for collection by the Vendor within three weeks from the date of delivery.

13.The Vendor reserves a right to revise the prices attached without prior notice.

14.Goods returned to the Vendor will be subject to a minimum handling charge of £10 or 10% whichever is the greater, provided that the goods were supplied in accordance with the Purchaser’s request.
