TERMS AND CONDITIONS OF TRADING

1            The Seller agrees to sell and the Purchaser agrees to purchase the goods described at the price stated at the time of delivery/invoice.

2            The said goods shall remain at the Sellers risk until delivery to the Purchaser whereupon they shall be at the Purchasers risk.

3            Payment of the full contract price shall be made by the Purchaser to the Seller within the agreed contractual terms by the Seller to the Purchaser.

4            The costs, including solicitors fees, incurred in recovering an outstanding debt to the extent necessary, will be borne by the Purchaser.

5            For orders of more than £10,000, or orders for a sum below that figure at the Sellers discretion, the Seller requires the Directors of the Purchaser to give a personal guarantee for payment of the order.

6            The Seller warrants that the goods supplied will be in accordance with their specification and will be of satisfactory quality and fit for the intended purpose. Save as aforesaid the Seller gives no warranties and will not be liable to the purchaser for any claims for indirect or consequential losses however arising. In no event shall the Sellers liability hereunder exceed the price of the goods.

7            Any defect in the goods supplied must be notified to the Seller by the Purchaser in writing within seven days of the date of delivery failing which notification the Purchaser shall be deemed to have accepted the goods and approbated this contract.

8            Upon such notification of any defect in the goods the Seller shall be afforded reasonable opportunity by the Purchaser to inspect the goods and until such inspection and until the Seller agrees to rescission of this contract the terms and conditions of this contract shall remain in full force and effect.

9            Notwithstanding anything herein contained title to the goods shall remain vested in the Seller until payment of the full contract price and interest thereon (if any).

10          The Seller shall deliver the goods to such place as is reasonably nominated by the Purchaser at the Sellers expense provided that the contract price for the goods is more than £750.  If the Purchaser should require the goods delivered to some place more than 50 miles from the Sellers principal place of business or if the goods should be of unusual shape or size so as to require special arrangements for delivery the Seller may make such additional charge for carriage as is reasonable the circumstances.

11          Where the goods are delivered on any pallet or in any container of any description the Seller reserves the right to make a reasonable charge for such pallet or container if such pallet or container is not returned to the Sellers principal place of business within one calendar month from the date of delivery.

12          The Seller reserves a right to revise the prices attached without prior notice.

13          The parties agree that these Terms & Conditions represent the entire agreement between the parties. The Purchaser confirms that no statement or representations has been relied on in agreeing this contract

14          Goods returned to the Seller will be subject to a minimum handling charge of £10 or 10% whichever is the greater, provided that the goods were supplied in accordance with the Purchaser’s request.
